MeDirect Bank (Malta) plc is pleased to announce that we are now accepting applications for the new partially secured bond issued by Endo Finance plc. The bond amounts to €20,000,000, carries an interest rate of 5.75% per annum, and has a nominal value of €100 per bond, redeemable in 2036, following approval by the Listing Authority.
About the issuer:
Endo Finance plc is a Malta-based public limited company incorporated on the 20 November 2018 (Company Registration No. C 89481). The company is domiciled in Malta and has its registered office at 10 Timber Wharf, Marsa MRS 1443, Malta. It was established primarily as the financing arm of the Endo Group (formerly associated with the Palm Group maritime businesses).
The company itself does not conduct significant trading operations. Instead, its performance is largely dependent on the operating results of its underlying subsidiaries, especially Endo Tankers, which is involved in the acquisition, financing, management and chartering of commercial vessels.
Purpose of the Bond Issue:
The proceeds from the new €23 million bond issue will primarily be used to refinance existing higher-cost debt, including the repayment of the outstanding €4.8 million 6% Notes 2027 and the early redemption of the €7 million 7.5% Callable Notes 2027. The transaction is expected to streamline the Group’s debt maturity profile while providing long-term funding to support the continued development of Endo Group’s maritime operations and vessel portfolio.

Status: The Bonds, as and when issued and allotted, shall constitute the general, direct, unconditional and partially secured obligations of the Issuer and shall be guaranteed jointly and severally by the Guarantor in respect of both the interest due and the principal amount under said Bonds. The Bonds shall at all times rank pari passu, without any priority or preference among themselves
