MeDirect Bank (Malta) plc is pleased to announce that we are now accepting applications for the new Secured bond issued by Ell Finance plc. The bond amounts to €30,000,000, carries an interest rate of 5.35% per annum, and has a nominal value of €100 per bond, redeemable in 2036, following approval by the Listing Authority.
About the issuer
ELL Finance p.l.c., incorporated on 18 July 2025 as a subsidiary of ELL Investments Limited, focuses on acquiring and managing assets in infrastructure, parking, hospitality, and entertainment. It brings together the long-standing business interests of the Ellul family, known for major projects such as the Malta Freeport, Malta International Airport, and Portomaso. The company serves as a financing vehicle and introduces a modern, transparent structure to support the growth of a diversified investment portfolio contributing to Malta’s economy.
Purpose of the Bond Issue
The proceeds from the Bond Issue, which net of Bond Issue expenses are expected to amount to approximately €29.45 million, will be used by the Issuer for the following purposes, in the amounts and order of priority set out below:
• €5.0m to repay the unsecured callable notes maturing in 2027 issued by ELL Finance p.lc.
• €4.0m to settle the MCP Company Limited’s existing bank borrowings.
• €20.45m to repay part of the outstanding amount for ELL Finance p.l.c.’s acquisition of MCP and MAL Shares from Ebcon Investments Limited. These proceeds will go towards the repayment of Ebcon Investments Limited’s outstanding borrowing facilities.
• Issue size: €30,000,000
• Coupon rate: 5.35% per annum
• Coupon payment frequency: Annually
• Interest Payment date: 4 August of each year between and including each of the years 2027 and the year 2036
• Maturity date: 4th August 2036
• Status: The Bonds constitute the general, direct, unconditional and secured obligations of the Issuer, guaranteed by the Guarantor, and shall at all times rank pari passu, without any priority or preference, among themselves. The Bond Obligations shall be secured by the Security Interest. Third party security interests may be registered by the Issuer which will rank in priority to the Bonds against the assets of the Issuer for so long as such security interests remain in effect.
• Min subscription: The Bonds will be issued in multiples of €100. The minimum subscription amount of Bonds that can be subscribed for by applicants is €1,000 for eligible existing bondholders of the 2025 Notes and €2,000 in all other cases.
